NECESSARY TERMS OF ENGLISH CONTRACT
1.前言 Preamble
一份標準英文合同通常可以分為前言(Preamble)、正文(Operative part)、附錄(Schedule)及證明部分即結(jié)束詞(Attestation)四大部分組成。 前言(Preamble)由“Parties”及“Recitals”兩部分組成。
“Parties”為必備條款,在很多時候稱為“commencement”即合同的開場白,主要介紹合同各方的名稱或姓名、注冊地及地址、郵編及在合同中的簡稱。當(dāng)然,并不是所有的合同都要詳細介紹以上諸要素,在許多簡單合同中,只是提一下各方的名稱。
I. 以下為“Parties”的常用表達方式:

I. 常見的定義語句常用mean, refer to, be construed as, include等來表達。如:

1. "Stock Certificate" includes "stock certificate" and "stock certificates".

2. "He" includes "he" and "she".

3. Words using the singular or plural number also include the plural or singular number.

III. 定義語句中,有時需限定范圍。而通常用得最多的是:“for the purpose of ”及“in relation to”某概念的定義條款,如果適用范圍僅限于合同的“特定部份”,可以用“for the purpose of ”來為定義條款起頭。而如果定義條款是針對合同的“特定概念”,就用“in relation to”來界定。如下例:

Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein .
5)相關(guān)費用:Miscellaneous Charge.

甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確,無異議登記、單方預(yù)告登記,無司法、行政查封等限制性交易情形存在;若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵,甲方應(yīng)返還乙方所有已付房款并賠償乙方實際損失。
Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.
五、【爭議解決】
6. DISPUTE SETTLEMENT
各方在本協(xié)議履行過程中發(fā)生爭議的,應(yīng)友好協(xié)商;協(xié)商不成的,應(yīng)向該房地產(chǎn)所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
六、【合同效力】
6. VALIDITY
本協(xié)議自甲、乙雙方簽署起對甲、乙生效,丙方簽署后對丙方生效,一式三份,甲、乙、丙三方各執(zhí)一份。

1. to pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the municipality, government or any other authority in respect of demised premises.

12.違約(Breaking the contract):
12.1若超過裝運期限賣方每天必須向買方支付貨物總價款0.5%的違約金。The sellers must pay the buyers0.5% of the price of all the goods per day for breaking the contract of shipping time.
12.2如果延期超過5天賣方須向買方支付貨物總價款5%的違約金。與此同時,買方保留是否繼續(xù)履行合同的決定權(quán)。

A. The parties entered into a Contract with Authorized Purchaser (Dealer) of Lamborghini Import “Dealer Contract”).

1.5 The Dealer by executing this Agreement, for and on behalf of Dealer and all persons and entities who at present, in the past or in the future may have, have had or may hereafter have a legal or beneficial ownership or other interest in Dealer, and their respective heirs, executors, administrators, successors and assigns (collectively the “Releasors”), hereby agrees to and does hereby unconditionally, irrevocably and forever voluntarily terminate and surrender to VGIC, as of the Effective Date, the Dealer Contract and any other agreements relating to the sale of the Lamborghini brand products and waives, terminates and surrenders to VGIC any and rights arising out or relating to the Dealer Contract or in connection with the Dealer Contract, including, without limitation, any and all rights, if any, to a continuation, extension or renewal of the Dealer Contract or any related business relationships between VGIC and the Dealer or any of the other Releasors after the Effective Date, which they, or any of them, may now or hereafter have or acquire.

1.6 The parties hereto intend that this Agreement constitute a general release of all claims, demands, actions, causes of action, whether known or unknown, suspected or unsuspected, that the Dealer and/or any of the other Releasors had, may have or may claim to have to the Effective Date.

2. Obligations Following Signing of This Agreement 第二條 簽署本協(xié)議產(chǎn)生的義務(wù)
2.1 Following the signing of this Agreement, both parties shall make best efforts to cooperate with each other, including providing and executing all necessary documents and materials and
taking all necessary actions, to ensure an uninterrupted supply of parts and after sales services as required by customers after the date of termination of the Dealer Contract.
本協(xié)議簽署后,協(xié)議雙方應(yīng)當(dāng)盡最大努力展開合作,包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施,確保所述經(jīng)銷商合同終止后,能夠按照客戶的要求不間斷地提供零部件和售后服務(wù)。
2.2 Following the signing of this Agreement, the Dealer undertakes to VGIC that it shall: 本協(xié)議一經(jīng)簽署,經(jīng)銷商即向大眾公司保證:經(jīng)銷商應(yīng)當(dāng)
(a)Immediately inform its customers (especially owners of vehicles sold by the Dealer) of the Dealer’s closure using the mutually agreed template attached to this Agreement, and obtain the customers’ consent to the transfer of the customer’s information to VGIC and VGIC’s use of such informationsubject to the applicable laws and regulations of PRC;
使用本協(xié)議隨附的且雙方一致同意的方式,把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶(特別是從經(jīng)銷商處購買了汽車的車主),取得客戶同意后,把客戶信息移交給大眾公司,大眾公司應(yīng)當(dāng)按照適用的中華人民共和國的法律和法規(guī)來使用該種信息。
(b) Immediately execute the necessary contracts for the transfer of its repair, return and replacement obligations pursuant to the applicable laws and regulations and the Dealer’s sales contracts for vehicles sold by the Dealer to a mutually agreed affiliate;
立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的附屬公司的車輛而簽訂的銷售合同,為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。
(c) immediately transfer, and ensure its affiliated companies transfer, to VGIC or other Volkswagen Group companies respectively, without any consideration, the trademarks registered in the PRC and/or trademark registration applied in the PRC, which belong to VGIC or other Volkswagen Group companies, and any domain names registered in the PRC, which contain the Lamborghini trademarks or name of VGIC or other Volkswagen Group companies;
立即向大眾公司或者大眾集團的其它公司讓與全部歸大眾公司所有的或者大眾集團其它公司所有的、在中華人民共和國注冊的商標和/或在中華人民共和國申請的商標注冊,以及包含蘭博基尼商標或者大眾公司名稱或者其它大眾集團公司名稱的.任何域名,不得收取任何對價,并確保經(jīng)銷商自己的附屬公司也這樣做。
(d) immediately cease using, and ensure its subsidiaries and branches (if any) to cease using,the Lamborghini trademarks and “Lamborghini” or its Chinese translations in its corporate name; 立即停止使用并確保其子公司和分公司(如果有的話)停止在其公司名稱中使用蘭博基尼商標、“Lamborghini”和Lamborghini 的漢語譯文 “蘭博基尼”;
(e) not apply, and ensure its affiliated companies not apply, directly or indirectly, for registration of any trademarks or names (including any Chinese translations) belonging to VGIC or other Volkswagen Group companies. Otherwise, VGIC or other Volkswagen Group companies are entitled to request such trademarks and/or names transferred to VGIC or other Volkswagen Group companies, free of charge, at any time;
不得直接或者間接地申請注冊屬于大眾公司或者大眾集團其它公司的任何商標或名稱(包括漢語譯名),并確保其附屬公司也這樣做。否則,大眾公司或者大眾集團其它公司有權(quán)在任何時間要求把該等商標和/或名稱讓與給大眾公司或者大眾集團的其它公司。
(f) immediately remove and return to VGIC (or otherwise dispose of as VGIC may instruct) all signboard and symbols containing the Lamborghini trademarks; and

(g) immediately return to VGIC or otherwise dispose of as VGIC may instruct all equipment and tools, samples, instruction books, technical pamphlets, catalogues, advertising materials, specifications and other materials, documents or papers whatsoever provided by VGIC to the Dealer and relating to VGIC’s business (other than correspondence which has passed between the parties) which the Dealer may have in its possession or under its control.

2.4 Within 30 days following the signing of this Agreement, the Dealer should apply to deregister itself with the relevant government authorities as an authorized dealer of Lamborghini brand products, including revising its business scope shown on the business license accordingly.
本協(xié)議簽署后的三十天內(nèi),經(jīng)銷商應(yīng)當(dāng)向相關(guān)的政府機關(guān)申請撤銷自己作為蘭博基尼品牌產(chǎn)品授權(quán)經(jīng)銷商的登記,包括相應(yīng)地修改經(jīng)銷商營業(yè)執(zhí)照中業(yè)務(wù)范圍。
2.5 The Dealer agrees to maintain strict confidentiality regarding all VGIC’s confidential information, including any data, information, plans, drawings, specifications, documents, know-how, physical objects (such as models, parts or devices) or materials of or relating to the production, engineering, technology, financing, marketing of Volkswagen and Lamborghini products, personnel of VGIC, their parent corporation or their subsidiaries or affiliates, if such confidential information is not known or available to the public (“Confidential Information”). The Dealer undertakes that it will not, at any time, reveal, communicate, divulge or make available any Confidential Information to anyone, other than to such extent and to such persons as may specifically be designated by VGIC in writing.

五、押金 / Deposit

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.
3. 因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費用,甲方可在押金中抵扣,不足部分乙方必須在接到甲方付款通知后十日內(nèi)補足。
In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit. In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.
4. 因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè),甲方應(yīng)立即全額無息退還押金予乙方,且乙方有權(quán)追究甲方的違約責(zé)任。
If Party B can’t normally use the apartment because of Party A, Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A.
六、甲方義務(wù) / Obligations of Party A
1.甲方須按時將房屋及附屬設(shè)施(詳見附件)交付乙方使用。
Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.
2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金。
In case the premise and attached facilities are damaged by quality problems, natural damages or
accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.
3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利,如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項物權(quán)或其他影響乙方權(quán)益的事件,甲方應(yīng)保證所有權(quán)人、他項權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款,反之如乙方權(quán)益因此遭受損害,甲方應(yīng)負賠償責(zé)任。 Party A will guarantee the lease right of the premises. 七、乙方義務(wù)/ Obligations of Party B
1.乙方應(yīng)按合同的規(guī)定按時支付租金及押金。
Party B will pay the rental and the deposit on time.
2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.
3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。
Party B will use the premises lawfully according to this contract without changing the nature of the p
remises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.
5.乙方應(yīng)承擔(dān)租賃期內(nèi)的水、電、煤氣、電話費、收視費、一切因?qū)嶋H使用而產(chǎn)生的.費用,并按單如期繳納。
Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.
八、合同終止及解除的規(guī)定/ Termination and dissolution of the contract
1. 乙方在租賃期滿后如需續(xù)租,應(yīng)提前一個月通知甲方,由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension. Under the same terms Party B has the priority to lease the premises.
2. 租賃期滿后,乙方應(yīng)將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
When the lease term expires, Party B will return the premises and attached facilities to Party A. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party
B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。
This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.
九、違約及處理/ Breach of the contract
1. 甲、乙雙方任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途終止,則視為該方違約,雙方同意違約金為 元整,若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。
During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be RMB . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.
2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時發(fā)生爭議,應(yīng)友好協(xié)商;協(xié)商不成,可向有管轄權(quán)的人民法院提起訴訟。
Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.
十、其他 / Miscellaneous
1.本合同附件是本合同的有效組成部分,與本合同具有同等法律效力。

Force Majeure :
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after . the Sellers shall send by airmail to the Buyers for their acceptancea certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the deliveryof the goods.

13.裝運條款:
□ FOB
賣方應(yīng)在合同規(guī)定的裝運日期前30天,以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期,以便買方安排租船/訂艙。裝運船只按期到達裝運港后,如賣方不能按時裝船,發(fā)生的空船費或滯期費由賣方負擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費用和風(fēng)險由賣方負擔(dān)。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

The sellers shall immediately upon the completion of the loading of the goods , advise buyers of the contract No., names of commodity , loading quantity , invoice values , gross weight , name of vessel and shipment date by TLX/FAX/CABLE within _____hours .
15.質(zhì)量保證:
Quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定,品質(zhì)保證期為貨到目的港_____個月內(nèi),在保證期限內(nèi),因制造廠商在設(shè)計制造過程中的缺陷造成的貨物損害應(yīng)由賣方負責(zé)賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗:賣方須在裝運前_____日委托 檢驗機構(gòu)對合同之貨物進行檢驗并出具檢驗證書,貨到目的港后,由買方委托____檢驗機構(gòu)進行復(fù)檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17.索賠
Claims:
如經(jīng)中國_____檢驗機構(gòu)復(fù)檢,發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符,買方可于貨到目的港后 天內(nèi)憑上述檢驗機構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致,在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認可的`不可抗力因素外,賣方遲于合同規(guī)定的期限交貨,如買方同意遲延交貨,賣方應(yīng)同意對信用證有關(guān)條款進行個性和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%,差率按7天0.5%計算,不滿7天仍按7天計算。在未采用信用證支付的情況下,賣方應(yīng)將前述方法計算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒:如因人力不可抗拒的原因造成本合同全部或部分不能履約,賣方概不負責(zé),但賣方應(yīng)將上述發(fā)生的情況及
時通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式:
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭議,應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會,按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的,對雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

21.法律適用
Law application :
本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的,適用中華人民共和國法律,除此規(guī)定外,適用《聯(lián)合國國際貨物銷售公約》。
It will be governed by the law of the People’s Republic of China under the circumstances that the contract is singed or the goods while the disputes arising are in the People’s Republic of China or the deffendant is Chinese legal person , otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .
22.本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會《Incoterms 1990》
23.文字:本合同中、英兩種文字具有同等法律效力,在文字解釋上,若有異議,以中文解釋為準。

三、租金 Rental:

3. 如乙方逾期支付租金超過十天,則每天以月租金的0.5%支付滯納金;如乙方逾期支付租金超過十五天,則視為乙方自動退租,構(gòu)成違約,甲方有權(quán)收回房屋,并追究乙方違約責(zé)任。 In case the rental is more than ten days overdue, Party B will pay 0.5% of monthly rental as overdue fine every day; if the rental is paid 15 days overdue, Party B will be deemed to have withdrawn from the property and breach the contract. In this situation, Party A has the right to take back the property and take actions against Party B’s breach.
四、保證金 Security Deposit:
1. 為確保出租房屋及其設(shè)施之安全與完好及租賃期內(nèi)相關(guān)費用之如期結(jié)算,乙方同意于年月___ 日前支付給甲方保證金人民幣 元整(¥___ ),甲方在收到保證金后予以書面簽收。To ensure the welfare and good condition of the leased property and attached facilities as well as the prompt payment and settlement of all related charges during the term of the tenancy, Party B agrees to pay Party A¥(year).Party A will issue a written receipt after receiving the deposit.
2. 除合同另有約定之外,甲方應(yīng)于租賃期滿或此合同提前終止之日,且雙方確認交房方遷空、清點,當(dāng)天將保證金全額無息退還乙方,在甲方退還保證金之前,乙方有權(quán)保留房屋鑰匙。 Unless otherwise provided in this Agreement, Party A shall return to Party B the entire security deposit without interest thereon upon expiration of the tenancy or sooner termination of this Agreement, and at the time when both parties have confirmed the return of the premises. Party B has the right to retain the keys to the premises until Party A returns the deposit.
3. 甲方因乙方違反本合同的規(guī)定而受的損失,可在保證金中扣抵雙方協(xié)議數(shù)目,不足部分乙方必須在接到甲方付款通知后十天內(nèi)補足。Party A may deduct a negotiated amount of security deposit towards Payments of any actual damages Party A shall have incurred or suffered as a result of Party B’s breach of this Agreement. In case the security deposit is not sufficient to cover such amounts, Party B must pay the deficient within 10 days of the receipt of a demand from Party A.
五、甲方的義務(wù)Obligations of Party A:
1. 甲方須按時將出租房屋以良好狀態(tài)交付乙方使用。
Party A shall deliver on schedule to Party B the leased property for Party B’s use.
2. 租賃期內(nèi)甲方不得無故收回出租房屋。(除非本合同另有規(guī)定)
Party A shall not take back the leased property, without cause, during the term of the tenancy.(unless otherwise stipulated in this Agreement)
3. 在乙方遵守本合同的條款及交付租金的前提下,如非中國法律特別規(guī)定,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.
4. 房屋基本設(shè)施和結(jié)構(gòu)(不包括乙方損壞的家私和器具)損壞時,甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費用,并對其作定期修保。
Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.
5. 甲方謹在此聲明及保證甲方為出租房屋的合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有關(guān)機構(gòu)的批準,包括政府批準及抵押權(quán)人的同意(如適用)。甲方于本合同所做出的聲明及保證,如有錯誤或違反者,甲方須就乙方因此而引致的`任何損失、損害、支出及費用做出全部補償。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. Party A has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to Party B, including government approval and/or mortgagee consent (if applicable).
Party A shall be liable to Keep Party B be fully indemnified against any costs, expenses, losses and damages incurred to suffered by Party B as a result of any breach of Party A’s representations of warranties herein(including but not limited to legal costs.
6. 如在租賃期內(nèi),租賃房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、和其他影響乙方權(quán)益的事情時,甲方應(yīng)保證所有權(quán)人或其他影響乙方權(quán)益的第三者,能繼續(xù)遵守本合同所有條款。如乙方于本合同下的權(quán)益受此等所有權(quán)人或第三者所影響或損害,甲方須負責(zé)補償乙方的所有損失、損害、支出及費用。
If during the term of the tenancy, all or part of the leased property is transferred of Party B’s right to use leased property is affected, Party A shall ensure that such transferee or third party having an effect on Party B’s right to use the leased property will continue to abide by the terms of this Agreement. Party A shall also be liable to keep Party B be fully any of Party B’s interests herein are affected or prejudiced by such transferee or third party.
六、乙方的責(zé)任 Obligations of Party B:
1. 乙方應(yīng)按合同的規(guī)定,按時支付租金,保證金及其它各項應(yīng)付費用如水、電、煤、寬帶等費用。 Party B shall promptly pay all rent, security deposit and other charges such as water, electricity, gas, ADSL, etc payable by it in accordance with the terms of this Agreement.
2. 乙方經(jīng)甲方事先書面同意,可在承租用房內(nèi)進行裝修及添置設(shè)備。租賃期滿后恢復(fù)原狀或可正常出租狀態(tài)(正常損耗除外),并承擔(dān)其費用,經(jīng)甲方驗收認可后歸還甲方。乙方在租賃結(jié)束交房時應(yīng)保持房屋清潔。
Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Upon expiry of the tenancy, the leased property shall be returned to Patty A in its original conditions of normal lease conditions(fair wear and tear excepted), and all expenses arising there from shall be borne by Party B. Party B shall keep the premise clean once returning it to Party A.
3. 乙方應(yīng)愛護使用租賃的房屋,如因乙方的過失或過錯致使房屋及設(shè)施受到損壞(正常損耗除外),乙方應(yīng)負賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.
4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險的物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.
5. 未經(jīng)甲方事先書面同意,乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.
Without Party A’s prior written consent, Party B may not assign the tenancy or sublet the leased property to a third party.
七、違約處理Breach of Agreement:
1. 甲、乙任何一方在未征得對方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣元整(¥ ),若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.
2.乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予退還。
Party A shall have the right to terminate this Agreement, re-possess the leased property and forfeit the security deposit if Party B commits one of the following:
a) 將承租的房屋擅自轉(zhuǎn)租
Sublets the leased property to another person
b) 未得甲方同意將承租的房屋擅自拆改結(jié)構(gòu)或改變用途的
Alters the structure of the leased property without authorization or uses the leased property rather than for the purpose stated herein
c) 無故拖欠租金超過十五天
Fails s to pay rent without any reason for more than 15 days after the due date
八、不可抗力 Force Majeure:
若由于不可抗拒的自然災(zāi)害(包括但不限于火災(zāi)、洪水、地震、施工、敵對、瘟疫等行為等)
獲其他非乙方過錯所造成的對本物業(yè)的損毀致其無法居住或使用本物業(yè),乙方有權(quán)終止本組契約,甲方
必須全數(shù)退還乙方所有保證金和當(dāng)月所余租期之相應(yīng)租金。 If the leased property is destroyed, damaged and rendered uninhabitable of unusable due to force major
(include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy,pestilence etc).or actions that are not the result of Party B’s fault, Party B shall have the right to terminate this Agreement and prorated balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions.
九、適用法律Applicable Law:
本合同的成立,其有效性,解釋,簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.
十、爭議的解決 Dispute Resolution:
凡因執(zhí)行合同所產(chǎn)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決;協(xié)商不成,應(yīng)提交上海仲裁委員會,按其仲裁規(guī)則和中華人民共和國仲裁法在上海進行仲裁, 仲裁裁決是終局的,對雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to arbitration by Shanghai Arbitration Commission in Shanghai accordance with its arbitration rules .The decision of the arbitrage body is final and shall be binding on the parties hereto.
十一、其他 Others:
1. 本合同附件是本合同不可分割的組成部分,具有同等法律效力。
The attachment to this Agreement is an inseparable part of this Agreement and is equally enforceable.
2. 本合同如有未盡事宜,由甲、乙雙方洽談解決。
If this Agreement is unclear with respect to certain matters, the two parties shall discuss to resolve such ambiguities.
3. 本合同由中文和英文寫成,以中文版本為準,英文僅供參考。
This Agreement is written both in the Chinese and English languages. Only Chinese versions shall be authentic, English version is for reference.
4. 本合同自簽字之日起生效。未經(jīng)雙方同意,不得任意終止或修改(本合同另有約定除外)本合同一式
三份,甲、乙雙方各執(zhí)一份,中介執(zhí)一份。This Agreement shall become effective upon the signing thereof by the parties hereto. Save and except as
provided in this Agreement, this Agreement may not be terminated or amended without the consent of both parties. There are three originals of this Agreement, one for each party and agency hold one.
5. 雙方須各自分擔(dān)因準備,商討及簽署本合同所引致法律費用。
Each party shall bear its own legal costs in relation to the preparation negotiation and execution of this Agreement.
